Aperto SaaS Service Agreement & SLA

Draft Agreement Under Review: The service terms, uptime SLA, and billing commitments below are proposed terms published for pilot evaluation. Selling entity registration and qualified legal review are pending founder confirmation. Not an executed commercial contract.

1. Contracting Parties & The Unlimited Courts Pledge

This Service Agreement is entered into by and between the Aperto platform operator (selling entity registration pending founder confirmation; “Aperto”, “we”, “our”) and the operating sports club, venue owner, or organization (“Client”, “Venue”).

The Unlimited Courts Commitment: Aperto’s Base Subscription is priced per physical facility address (venue branch). Aperto guarantees that your subscription fee will never increase simply because you add more courts or configure multi-sport layouts. No court-count multiplier or per-court tiering applies.

2. Uptime Service Level Agreement (99.5% Target)

Aperto commits to providing an operational uptime of at least 99.5% in each calendar month for our core reservation APIs, front-desk schedule interfaces, and player check-in endpoints.

Uptime excludes announced maintenance windows scheduled with at least 48 hours advance notice and conducted during off-peak hours (1:00 AM – 5:00 AM PHT).

3. Subscription Billing, Trial & 7-Day Operational Grace Period

  • 14-Day Evaluation Trial: New venues receive 14 days of unrestricted access to the Base Operating System and qualified modules without requiring upfront payment credentials.
  • SaaS Invoicing & Currency: All subscription fees are billed in Philippine Pesos (PHP) exclusive of 12% VAT. Invoices are issued electronically with standard BIR 2307 withholding tax accommodations for registered corporate clients.
  • 7-Day Operational Grace Period: Each billing period is collected by an invoice, not an automatic card or e-wallet charge. If a renewal invoice is not settled by the renewal date, the venue enters a 7-calendar-day Grace Period. Front-desk bookings, cash walk-ins, and player arrivals remain 100% active to prevent front-counter disruption.
  • Suspension & Data Protection: If an account remains delinquent beyond Day 7 post-due, write capabilities are paused. However, staff and owners retain full read access to historical records and the ability to download complete RFC 4180 CSV data exports.

4. Separation of Merchant Accounts & Revenue

Aperto maintains a strict architectural and financial boundary between SaaS software fees and player booking collections:

  • Player Bookings: The Venue is the Merchant of Record. Payments from players (whether collected via cash, front-desk GCash QR, or the venue’s connected PayMongo gateway) belong solely to the Venue.
  • Disputes & Player Refunds: All refund decisions and customer disputes regarding court bookings, merchandise sales, and memberships are the exclusive responsibility of the Venue.
  • SaaS Fees: the Aperto platform operator is the Merchant of Record solely for the Venue’s subscription fees to Aperto.

5. Cancellation, Refunds & Data Portability Guarantee

Cancellation: Monthly subscriptions may be cancelled at any time with 30 days written notice. Annual subscriptions may be cancelled with a pro-rated refund for full unused months remaining, subject to a 15% administrative processing fee.

Data Portability: You own your data. At any time before or during account termination, you may export your complete player roster, past and future reservations, immutable audit trail, and cash till movements in standard RFC 4180 CSV formats. The copy is generated on request and its payload is downloadable for 24 hours; the copy generated when your account closes stays downloadable for 30 days counted from the closure date. What is kept after closure is set out in the Retention Schedule: your branches’ player identity is anonymized, while bookings, receipts, refunds, money accounts and audit events are kept as the record of what happened — closure is a recorded state, never a delete of your financial history.
